Common Seal Stamp: A Blend of Tradition and Modernity for Australian Companies

The timeless practice of affixing a common seal, also referred to as a company or corporate seal, speaks volumes about a company's attention to detail and its deep-rooted connection to traditional corporate values. Even though the necessity for such seals underwent a significant shift post-1988, their allure, significance, and the gravitas they bring to a document remain unchanged.

The Journey of the Common Seal in Australia:

The significance of the common seal is firmly rooted in the history of corporate Australia. Before 1988, the execution of deeds and essential documents was intricately tied to the common seal. However, the enactment of the Company Law Review Act 1988 saw the mandatory requirement for a seal being abolished. But like any tradition that stands the test of time, the allure of the company seal endures.

While not mandatory anymore, many organisations, especially those established prior to 1988, may have constitutions that still mandate the use of these seals. The essence lies in the rules that governed a company at the time of its registration.

Why Companies Still Opt for the Common Seal:

The decision to continue using a company seal transcends legal mandates. For many, it's about lending a heightened sense of legitimacy to documents, especially in the eyes of those less acquainted with modern methods of document execution. Additionally, with the ever-expanding global marketplace, a company seal can serve as a beacon of legality and validity, especially for international clientele.

The Nuances of a Valid Company Seal:

A company seal must adhere to specific guidelines to be deemed valid:

  • It should proudly display the company’s name.
  • It must bear the expression ‘Australian Company Number’ followed by the company's ACN. Alternatively, the abbreviations ACN or A.C.N. are acceptable.
  • In cases where a company opts for its Australian Business Number (ABN) over its ACN, the seal should feature the company’s name, the term ‘Australian Business Number’, and the company’s ABN. Again, ABN or A.B.N. serve as acceptable abbreviations.

Furthermore, if you're leveraging the ABN in lieu of the ACN on documents, ensure your ABN encompasses your nine-digit ACN and is consistently used where the ACN would typically be placed.
